1. About these terms

These Terms of Service govern your use of BasanuPay, an invoicing and payment collection platform operated by Basanu Global Solutions Ltd (“BasanuPay”, “we”, “us”). By creating an account you agree to these terms.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You must provide accurate information, keep your login details secure and tell us promptly about any unauthorised use of your account. You are responsible for activity on your account.

3. Verification

Before you can send invoices, receive payments or request payouts you must complete identity (KYC) or business (KYB) verification. We may request further information at any time and may decline, suspend or close accounts that do not meet our requirements or those of our partners.

4. The service

BasanuPay lets you create invoices, share payment links and receive payments from your customers through our payment partner. BasanuPay is not a bank. Your platform balance is a record of amounts collected on your behalf that are pending or available for payout; it is not a deposit account and does not earn interest.

5. Your invoices and customers

You are responsible for the accuracy of your invoices, for delivering the goods or services you invoice for, and for your relationship with your customers, including any taxes that apply to your business.

6. Payments, fees and payouts

A payment is recorded only after our payment partner confirms it to us. We deduct the platform fee shown in your dashboard from each payment. New payments are held as pending for a period before they become available. Payouts are made only to verified bank accounts and may be reviewed before they are sent.

7. Refunds, disputes and reversals

If a payment is refunded, disputed or reversed, the amount and any related costs may be deducted from your balance. If your balance is insufficient, you agree to repay the shortfall. See our Refund Policy.

8. Prohibited use

You must follow our Acceptable Use Policy. We may hold funds, suspend or close accounts involved in prohibited, fraudulent or high-risk activity, and report activity where the law requires.

9. Suspension and closure

You may close your account at any time once outstanding payouts, refunds and disputes are settled. We may suspend or close accounts to comply with law, protect users or the platform, or where these terms are breached.

10. Liability

To the extent permitted by law, BasanuPay is not liable for indirect or consequential losses, or for failures caused by third parties, including payment and verification partners. Nothing in these terms limits liability that cannot be limited by law.

11. Changes

We may update these terms. We will notify you of material changes before they take effect. Continued use after that date means you accept the updated terms.

12. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria, subject to any mandatory rights you have where you live.
